Systemaix Service Agreement & Terms

This Service Agreement defines how we work together. By starting a project with Systemaix ('Service Provider'), you ('Client') accept the following terms and conditions. These ensure a transparent and successful partnership for both parties.

01 Scope of Services

  • Systemaix will provide digital services such as website development, business systems, desktop applications, website redesign, and security testing, based on the agreed project scope.
  • Any work outside the agreed scope will require additional approval and may incur extra costs.

02 Project Timeline

  • Project timelines will be estimated based on the scope of work.
  • Delays caused by late client feedback, missing content, or changes in requirements may extend the delivery date.

03 Payment Terms

  • A down payment is required before work begins.
  • The remaining balance must be paid upon project completion or before final delivery.
  • Payments made are non-refundable once work has started.
  • Late payments may delay delivery or suspend services.

04 Revisions & Changes

  • Revisions are limited to what is included in the agreed scope.
  • Major changes or new feature requests will be treated as a separate charge.
  • The Client must provide feedback within a reasonable timeframe to avoid delays.

05 Client Responsibilities

The Client agrees to provide:

  • Required content, assets, and information on time
  • Timely feedback and approvals
  • Accurate and legal materials (text, images, data)

Systemaix is not responsible for delays caused by missing client materials.

06 Ownership & Rights

  • Upon full payment, the Client receives full ownership of the final project deliverables.
  • Systemaix retains the right to display completed work in its portfolio unless otherwise requested.

07 Security & Data

  • Systemaix follows best practices to ensure system security but cannot guarantee absolute protection from all cyber threats.
  • The Client is responsible for backups and data security after project delivery unless maintenance is included.

08 Warranty & Support

  • A limited support period is provided after delivery for bug fixes related to the original scope.
  • Ongoing updates, feature additions, or long-term maintenance require a separate agreement.

09 Project Cancellation

  • If the Client cancels after work has started, payments made are non-refundable.
  • If Systemaix cancels due to unforeseen circumstances, any unused portion of payment will be refunded fairly.

10 Limitation of Liability

Systemaix is not liable for:

  • Third-party service failures (hosting, APIs, payment gateways)
  • Indirect or consequential damages

11 Confidentiality

Both parties agree to keep confidential information private, including business data, login credentials, and project materials.
